Terms and Conditions

Leadfwd, Cloud Signal Services Corp.

Last updated: April 2026

1. Who We Are

"Leadfwd", officially Cloud Signal Services Corp., is a SaaS (Software as a Service) Social Signals and Intelligence Platform that operates the website with the URL: https://leadfwd.ai (known as the "Platform").

2. Purpose

The purpose of these Terms of Use (this "Agreement") is to set forth the terms and conditions under which you are permitted to use our data and intelligence platform (the "Services").

3. Changes

We reserve the right to change any of the terms of this Agreement by posting the revised Terms of Use on our Website and/or by sending an email to the last email address you have given to us. Unless the term is terminated within ten (10) days, this new Agreement will be effective immediately with respect to any continued or new use of the Services.

4. Eligibility

We require that any client/customer/subscriber be at least eighteen (18) years of age. By using the Services, you represent and warrant that you are at least eighteen (18) years of age and that your use of the Services does not violate any applicable law or regulation. Your uploads may be deleted and your subscription may be terminated without warning if we have reason to believe you are under eighteen (18) years of age.

5. Billing and Payments

5.1 Refunds.

We are required to provide a refund only if we terminate our Services to you without cause before the end of a term for which you have paid. It is YOUR responsibility to use or not use the service. If you sign up and pay for the service and don't use it for any reason, this does not make you eligible for a refund of any sort. There is no other circumstance in which you will be entitled to a refund.

5.2 Billing Issues.

Any potential errors in billing, or any request to review a charge, must be reported within sixty (60) days of the transaction directly to our customer success team at help@Leadfwd.in.

5.3 Payment Method and Charge Authorization.

You must maintain a valid, current payment method on file for the duration of your plan. By providing a payment method, you authorize us to automatically charge that payment method for all fees incurred under your account, including recurring plan fees, usage-based charges, overage fees, and any other amounts owed under this Agreement, on each applicable billing date or as such fees are incurred, without further notice or additional authorization, until your plan is canceled in accordance with Section 6. If your payment method expires, is declined, or otherwise becomes invalid, you agree to promptly update your payment information. We may suspend or terminate your account if a valid payment method is not maintained.

5.4 Authorized Cardholder.

By submitting payment information, you represent and warrant that you are the authorized holder of the payment method used, or have obtained express authorization from the cardholder to use it for recurring or one-time charges under this Agreement, and that all payment information supplied is accurate and current.

5.5 Chargebacks as Breach.

Initiating a chargeback, dispute, or reversal with your bank or card issuer for any charge authorized under this Agreement constitutes a material breach of this Agreement. Chargebacks impose direct costs on us, including processor-assessed fees, and adversely affect our standing with our payment processor and acquiring bank, independent of the disputed amount. We may, at our sole discretion:

  • (a) immediately suspend or terminate your account;
  • (b) charge a fee of $65 per chargeback in addition to the disputed amount;
  • (c) refer your account and the disputed amount to collections;
  • (d) deny you access to the Service under any account, present or future;
  • (e) treat the chargebacked amount as a late payment and recover interest on the outstanding balance at a monthly rate of 1.5% (or the highest rate permitted by applicable law, if lower), along with any collections fees, including attorneys' fees, and any other amounts permitted by law.

5.6 Survival.

This Section survives termination of your account and this Agreement.

6. Term, Termination and Removal

The term will be determined based on your selected plan's term period and will automatically renew until canceled. If not otherwise specified in a Master Services Agreement (MSA), written termination notice must be sent to help@Leadfwd.in at least 30 days prior to any plan's renewal date. Termination notice with less than 30 days until your next renewal date will not apply until the following renewal period.

You will be required to maintain a valid payment method on file for the duration of your plan. We may suspend our Services to you at any time with or without cause. Once terminated, we may remove any historical data from your account as well as pause any integrations, signals, or operations configured within your account immediately and without further notice. Additionally, if you do not log in to your account for 12 or more months, we may deem your account "inactive" and permanently delete your account and all data associated with it.

7. Account Login Credentials

You are responsible for maintaining the confidentiality of any username and password provided to you. You are solely responsible for uses of any account provided to you, whether or not authorized by you. You agree to immediately notify us of any unauthorized use of any account of yours.

8. Proprietary Rights Owned by Us

You acknowledge that we, or our suppliers, own all proprietary rights in the platform and the software used to provide the Services, including, but not limited to, any patents, trademarks, service marks, and copyrights.

9. General Rules

You agree to the following:

  • You will not share your password.
  • You will not attempt to decipher, decompile, disassemble, compromise, or reverse engineer any of the platform software.
  • Have the necessary authorizations to access any connected applications or native integrations via third-party APIs.
  • Comply with the terms and conditions of use of the third-party providers they enable and utilize through the APIs.
  • Acknowledge that Leadfwd does not independently access, scrape, or collect data from Social Network Platforms on your behalf or otherwise. Any Social Network Platform data retrieved through the Service is requested exclusively at your direction, using contracted third-party API providers, and scoped solely to what you have explicitly initiated. Leadfwd does not maintain any database of social profile data for its own commercial purposes or for resale. Data retrieved at a user's direction is stored solely on that user's behalf and for their exclusive use within the Service. Leadfwd does not operate any autonomous data collection infrastructure.
  • Not extract a substantial part of any database or data source.
  • Not access confidential information without permission.
  • Not infringe on any third party's rights, including, without limitation, copyright, patent, trademark, trade secret, or any other intellectual property or proprietary rights.
  • Not violate any law, statute, ordinance, or regulation, including, without limitation, the laws and regulations governing the protection of personal data.
  • You will not set up multiple accounts for any individual, organization, or entity.
  • As the account owner/creator, you are fully responsible to ensure these rules and all of the terms and conditions set forth by the platform are understood and followed by any team members (users) that you invite to your account, including workspaces.
  • As the account owner/creator, you are responsible for monitoring your account usage to ensure it is within the limits defined by your selected service plan.
  • Credits are non-transferable, other than from a parent account to workspace accounts owned by the parent. Credits have no monetary value and are 100% non-refundable.
  • Credits will roll over from monthly plans when they're not used and continue to roll over as long as you maintain an active paid monthly plan. If for any reason you no longer maintain your paid account, credits will roll over for one additional monthly period.
  • Pay-as-you-go (PAYG) credits roll over indefinitely for the life of your account, until they're consumed.

9a. Social Network Platform Compliance and User-Directed Data Access

Leadfwd provides workflow automation and intelligence tools that may facilitate access to data from social network platforms such as professional networks, video platforms, and online communities ("Social Network Platforms") through contracted third-party API providers. Where the Service's social campaign functionality requires account authentication, credentials are managed by an independent third-party credential provider. The following terms govern this aspect of the Service:

Leadfwd has no direct relationship with any Social Network Platform and is not endorsed by, affiliated with, or acting as an official partner or agent of any such platform. Access to Social Network Platform data and functionality through the Service is provided entirely through contracted third-party API providers, and not through any official developer or partner program with the underlying Social Network Platform. Any trademarks, service marks, or platform names referenced in the Service are the property of their respective owners.

(a) User-Directed Access Only.

Any data retrieved from Social Network Platforms through the Service is retrieved exclusively at the direction of, or pursuant to the automated configuration established by, the authenticated user. Leadfwd does not directly access any Social Network Platform. All retrieval of social data is performed exclusively through contracted third-party API providers on the user's behalf. Leadfwd does not operate bots or synthetic accounts on any Social Network Platform, and does not build or maintain any database of Social Network Platform data for its own commercial purposes or for resale. Data retrieved at a user's direction is stored solely on that user's behalf and for their exclusive use within the Service.

(b) Social Network Platform Terms.

You acknowledge that your use of data retrieved from Social Network Platforms through the Service may be subject to the terms of service, acceptable use policies, and other agreements of those Social Network Platforms. Leadfwd makes no representation that any particular use of retrieved data is permitted under any Social Network Platform's terms of service. You assume full responsibility for ensuring your use of the Service complies with all applicable Social Network Platform terms.

(c) No Synthetic or Unauthorized Accounts.

You represent and warrant that any Social Network Platform accounts you connect to or use through the Service are accounts you personally own, control, and are authorized to use. Leadfwd does not create, operate, or have access to synthetic, shared, or unauthorized accounts on any Social Network Platform. Any actions performed on Social Network Platforms through the Service's social campaign functionality are performed using your own authenticated account, which you have personally connected to the Service. Social account authentication and credential management is handled exclusively by an independent third-party credential provider. Leadfwd does not store, maintain, or have access to any social account credentials. Credentials are managed by the third-party credential provider using enterprise-grade security standards including encryption at rest and in transit, with asymmetric encryption applied where required. The third-party credential provider maintains SOC 2 Type II certification, independently audited across security, availability, and confidentiality criteria. Leadfwd assumes no responsibility for the third-party credential provider's security practices, infrastructure, or terms of service.

(d) Data Scope Limitation.

Leadfwd processes Social Network Platform data solely to provide the functionality you have requested. Leadfwd does not aggregate, combine, resell, or repurpose data retrieved on your behalf across users, or use such data for Leadfwd's own commercial benefit beyond providing the Service to you.

(e) Third-Party API Provider Disclaimer.

All data available through the Service is sourced exclusively via third-party API providers, at the direction of the user through their configured signals, campaigns, or other platform features, and retrieved in real time on the user's behalf. Leadfwd does not control, audit, or warrant the data sourcing methodology, legal compliance posture, or terms of service of any such third-party provider. Any legal or contractual obligations arising from a third-party provider's data collection practices are solely between you and that provider. Leadfwd is not a party to, and assumes no responsibility under, any agreement between you and any third-party data API provider.

(f) Service Data Interaction Models.

The Service includes two primary data interaction models: (i) social monitoring and signal functionality, through which Leadfwd retrieves social data from contracted third-party API providers in real time, based on configurations established by the user; and (ii) social campaign functionality, through which actions are performed directly through Social Network Platform accounts that users personally authenticate and connect to the Service via a third-party credential provider. In both cases, all data retrieval and platform actions are directed by the user's configuration or real-time instruction, and Leadfwd does not directly access any Social Network Platform outside of what is executed through contracted third-party API providers or the third-party credential provider on the user's behalf.

10. Fair Use Policy

The purpose of this Fair Use Policy is to ensure that all Subscribers have fair and equal access to the Service, while preventing abuse or misuse of the Service, even by those Subscribers who have selected a plan that includes an "Unlimited" feature set. To prevent abuse and to ensure consistent platform stability, our platform operates under a Fair Use Policy.

If we determine that your account usage is either unreasonable or interfering with the stability, accessibility, or security of our platform, we will take steps to limit access without notice or suspend your account without any liability to us. Unreasonable use of the Service includes, but is not limited to, any use:

  • Which is in breach of any applicable law, including without limitation any law or regulation in relation to privacy, data, or spam.
  • Which interferes with other Subscribers' use, access, or general stability of the Service.
  • Which causes significant congestion or reduces our ability to fairly and equitably provide the Service to other Subscribers.
  • Which attempts to bypass or manipulate limitations or usage restrictions on the Service.
  • Which does not constitute a legitimate business need or use case.
  • Which constitutes abnormal or excessive use of the Service compared to the average use by other Subscribers on similar plans.
  • Which results in restricted or disallowed content being disseminated through the Service, including, without limitation, spam.
  • Which involves resupplying or reselling the Service or sharing access to the Service without our express written consent.

Exported Contacts and Signals

Exported Contacts may be automatically deleted from your account after 120 days, without notice, if your total contact count exceeds a reasonable threshold based on your plan size.

Signals that have been paused for a significant period of time without activity may be automatically deleted from your account, without notice, if your total Signal count exceeds a reasonable threshold based on both your plan size and average account activity level.

We are under no obligation to monitor your compliance with this Fair Use Policy. However, we may from time to time take steps to detect and prevent unreasonable use of the Service or use otherwise in breach of this Fair Use Policy. By way of example, we may apply usage control limits to certain features of the Service to prevent unusual or excessive use of the Service.

11. LLM Integrations

When connecting an authorized LLM account (OpenAI, xAI, Anthropic, Perplexity, Google Gemini) to your platform account, you are granting the platform permission and access to make requests to your LLM account using the native LLM API framework on your behalf. The platform will make requests using user-created prompt templates from your AI Agents. The platform will under no circumstances be responsible for the response, output, accuracy, performance, or availability from your LLM provider. Clients assume any and all risks associated with their LLM integration and provider.

12. Restricted Uses and Industries

The platform strictly prohibits data usage and access from end users that are engaged in anything containing, promoting, referencing, or linking to unlawful, illegal, libelous, defamatory, or violent content targeting individuals or groups and violating human rights. Furthermore, the platform will not render services to accounts that promote activities including, but not limited to, gambling, sexual/adult content, weapons and explosives, tobacco or tobacco-related products, drugs, political campaigns, hacking, penny stocks, forex trading and trading advice, payday loans, lead sales, and work-at-home offers related to "get rich quick," "build your wealth," and "financial independence" schemes.

13. No Warranties

To the maximum extent permitted by law, the material on this website and the services (including all content, software, functions, services, materials, and information made available herein or accessed by means hereof) are provided as is, without warranties of any kind, either express or implied, including but not limited to, warranties of merchantability and fitness for a particular purpose.

14. Limitation of Liability

To the maximum extent permitted by law, you assume full responsibility and risk of loss resulting from your use of the platform and the services including any account usage and data exported from the platform. Under no circumstances shall we or any of our employees or representatives be liable for any indirect, punitive, special, or consequential damages even if we or any of our employees or representatives have been advised of the possibility of such damages. Our total liability in any event is limited to the amount, if any, actually paid by you for use of the platform and the services for the one-month period ending on the date a claim is made, and you hereby release us and our employees and representatives from any and all obligations, liabilities, and claims in excess of this limitation.

15. Data Accuracy, Access and Availability

The platform aggregates data from multiple contracted third-party API providers in real time. Leadfwd acts solely as a workflow orchestration layer. It does not directly access or scrape data from Social Network Platforms, and has no proprietary data collection infrastructure of its own. All data retrieval through the Service is executed in real time through contracted third-party API providers, initiated exclusively by authenticated users through their own configurations or real-time instructions. Data is stored by Leadfwd solely on the user's behalf and for their exclusive use within the Service.

Leadfwd does not warrant, and expressly disclaims all responsibility for, the data sourcing methodology of any contracted third-party API provider. Each provider operates under its own terms of service, legal agreements, and compliance framework, for which Leadfwd is not responsible. The legality of any contracted third-party API provider's data sourcing practices is solely the responsibility of that provider.

From time to time we may be required to disable or fall back to alternative data providers without notice. We cannot guarantee that any data provider or data object will be consistently available or accessible at any time in the future. The platform may temporarily suspend or permanently suspend access to one or more data sources without notice. Subscribers should not build mission-critical workflows with a dependency on the continuous availability of any specific data source. At no time does the platform make any guarantees or warranties regarding the accuracy or completeness of any data delivered from any source. Subscribers are responsible for any and all data validation that they see fit.

16. Indemnity

You agree to indemnify and hold us, and our directors, officers, employees, and representatives, harmless from any and all losses (including, but not limited to, attorney fees) resulting from any claims not permitted under this Agreement due to a "Limitation of Liability" or other provision, that you assert, or may assert, based on or relating to your use, or the use of any individual using your password, of this Website or the Services. You further agree to indemnify and hold us, and our directors, officers, employees, and representatives, harmless from any and all losses resulting from claims of third parties, including, but not limited to, attorney fees, that result in whole or in part from allegations of conduct by you that, if true, would constitute a violation by you, or any individual using your password, of any of the terms of this Agreement. This indemnification expressly includes any claims arising from your use of third-party data retrieved through the Service, including claims by Social Network Platforms or data subjects relating to the retrieval, storage, or use of such data.

17. Attorney Fees

In the event we file an action against you claiming you breached this Agreement and seeking to recover liquidated damages and/or other relief, and we prevail, we shall be entitled to recover reasonable attorney's fees in addition to any damages or other relief which we may be awarded.

18. Disclaimers

We disclaim and are not responsible for the behavior of any advertisers, linked websites, or other users.

19. U.S. Export Controls

The software that supports the Services (the "Software") is further subject to United States export controls. None of the Software may be downloaded or otherwise exported or re-exported in violation of United States export laws. Downloading or using any of the Software is at your sole risk.

25. Warranties of Compliance

You represent and warrant that in compiling your outbound distribution list, sending outreach using the platform data and collecting information as a result of individuals visiting your website or otherwise, with respect to your customers and potential customers who reside in the EEA, you:

  • Will have clearly described, and will continue to clearly describe, in writing how you intend to use any data collected, including for sending emails if you obtain express consent from your customers and potential customers to use the data in that manner, and include an express consent to transfer the data to the platform as part of this process, and otherwise comply with whatever privacy policy you have posted.

In this regard, you represent and warrant that you have collected, stored, used, and transferred all data relating to any individual in accordance with all data protection laws and regulations relating to the country in which such individual resides and obtained all necessary consents to enable the platform to receive and process that data and forward communications to that individual on your behalf.

With respect to Social Network Platform data retrieved through the Service, you additionally represent and warrant that:

  • You will use retrieved data only for lawful purposes consistent with applicable data protection laws in your jurisdiction.
  • You will not use retrieved data to build, augment, or sell contact databases or lists to third parties.
  • You will not use retrieved data in any manner that violates the terms of service of the platform from which it originated, to the extent you are bound by such terms.
  • You will implement appropriate technical and organizational measures to protect any personal data retrieved through the Service.

You further agree to indemnify and hold us harmless from any losses, including attorney fees, resulting from your breach of any part of the foregoing warranties.

27. Force Majeure

We shall not be held liable for any delay or failure in performance of any part of this Agreement from any cause beyond our control and without our fault or negligence, such as acts of God, acts of civil or military authority, current laws and regulations and changes thereto, embargoes, epidemics, war, terrorist acts, riots, insurrections, fires, explosions, earthquakes, nuclear accidents, floods, strikes, power blackouts, volcanic action, other major environmental disturbances, unusually severe weather conditions, acts of hackers and other illegal activities of third parties, inability to secure products or services of other persons or transportation facilities, or acts or omissions of transportation or telecommunications common carriers or overloading or slowdowns over the internet or any third-party internet service providers.

28. Survivability

29. Severability

The unenforceability or invalidity of any term, provision, section, or subsection of this Agreement shall not affect the validity or enforceability of any remaining terms, provisions, sections, or subsections of this Agreement, but such remaining terms, provisions, sections, or subsections shall be interpreted and construed in such a manner as to carry out fully the intention of the parties hereto.

30. Interpretation

The fact of authorship by or at the behest of a party shall not affect the construction or interpretation of this Agreement.

31. Amendments

No amendment or other change of this Agreement shall be effective except as either expressly permitted under these Terms of Use or agreed to in writing between the parties. Notwithstanding the foregoing, additional terms may be required for certain features of the Service (the "Additional Terms").
